Terms of Use / User Agreement

These Terms of Use / User Agreement (“User Agreement”) govern your access to and use of StructuralAid.com and the information, content, tools, features, and other resources made available through it (collectively, the “Service”). The Service is operated by StructuralAid, LLC (“StructuralAid,” “we,” “us,” or “our”), a Michigan limited liability company.
1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by this User Agreement and all applicable laws and regulations. If you do not agree to these terms, you should not access or use the Service.
Where the Service presents you with a checkbox, button, or other mechanism asking you to accept this User Agreement, your selection of that mechanism constitutes your affirmative agreement to these terms.
StructuralAid, LLC may modify this User Agreement from time to time. Changes will become effective when posted on the Service, unless otherwise stated, and the effective date shown above will be updated accordingly. Material changes will apply prospectively to your use of the Service after they become effective. Your continued use of the Service after revised terms become effective constitutes your acceptance of those revised terms.
2. Intellectual Property
Unless otherwise indicated, the materials displayed or made available through the Service, including but not limited to text, articles, photographs, sketches, illustrations, artwork, videos, software, graphics, databases, page layouts, logos, trademarks, and service marks, are owned by or licensed to StructuralAid, LLC and are protected by copyright, trademark, and other applicable laws.
StructuralAid grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service and its content for your personal, non-commercial use.
Except as expressly permitted by this User Agreement or applicable law, you may not reproduce, modify, distribute, retransmit, republish, sell, license, publicly display, publicly perform, circulate, broadcast, create derivative works from, or otherwise exploit material from the Service without prior written permission from StructuralAid, LLC or the applicable rights holder.
You may not systematically scrape, crawl, harvest, extract, copy, download, or compile content or data from the Service through automated or manual means for the purpose of creating or maintaining a database, competing service, commercial product, or other collection of content. You may not use content obtained from the Service to develop, train, test, fine-tune, or improve an artificial intelligence, machine-learning, or similar computational model without prior written permission from StructuralAid, LLC.
These restrictions do not prohibit ordinary indexing of publicly accessible pages by generally recognized Internet search engines for the purpose of providing publicly available search results.
Nothing in this User Agreement grants you ownership of any intellectual property belonging to StructuralAid, LLC or any third party.
3. Acceptable Use
You agree not to use the Service:
(a) for any unlawful, fraudulent, deceptive, or malicious purpose;
(b) to interfere with, disrupt, damage, disable, or place an unreasonable burden on the Service or its supporting systems;
(c) to attempt to gain unauthorized access to any account, computer system, network, database, restricted area, or other portion of the Service;
(d) to bypass or attempt to bypass security, access, rate, or technical restrictions;
(e) to introduce viruses, malware, malicious code, or other harmful material;
(f) to impersonate another person or entity or misrepresent your identity or affiliation;
(g) to infringe or violate the intellectual property, privacy, contractual, or other rights of another person or entity; or
(h) to use the Service in any manner inconsistent with this User Agreement.
StructuralAid may take reasonable measures to prevent or respond to prohibited use of the Service.
4. Educational Information and No Professional Advice
THE SERVICE PROVIDES GENERAL EDUCATIONAL AND INFORMATIONAL CONTENT ONLY. NOTHING AVAILABLE THROUGH THE SERVICE CONSTITUTES ENGINEERING, ARCHITECTURAL, BUILDING, CONSTRUCTION, LEGAL, SAFETY, OR OTHER PROFESSIONAL ADVICE OR SERVICES.
Information presented through the Service is general in nature and may not account for the specific design, construction, materials, history, deterioration, concealed conditions, environmental conditions, loads, location, applicable building codes, or other circumstances of a particular building or property.
The Service is not a substitute for an on-site inspection, testing, evaluation, or professional judgment by an appropriately qualified and licensed professional.
Information concerning structural conditions, cracks, movement, settlement, foundations, framing, moisture, deterioration, construction defects, or other building conditions may have multiple possible causes. Photographs, written descriptions, measurements, or other information provided remotely may be incomplete and may not reveal concealed, developing, or otherwise unobservable conditions.
The information presented through the Service may also become outdated and may not reflect the current edition of a building code, standard, regulation, manufacturer instruction, or other authority applicable to your location or circumstances.
Before undertaking any structural modification, investigation, construction, repair, demolition, or other action that could affect a building or its occupants, you should obtain the services of an appropriately qualified and licensed professional engineer, architect, contractor, or other professional as circumstances require.
USE OF THE SERVICE, SUBMISSION OF INFORMATION THROUGH THE SERVICE, OR COMMUNICATION WITH STRUCTURALAID, LLC DOES NOT CREATE AN ENGINEER-CLIENT, ARCHITECT-CLIENT, CONTRACTOR-CLIENT, FIDUCIARY, ADVISORY, OR OTHER PROFESSIONAL RELATIONSHIP.
If the Service makes automated, algorithmic, or artificial-intelligence-assisted information or analysis available, such output may contain errors, omissions, or incorrect conclusions. Automated output is provided solely for general educational and informational purposes and does not constitute a diagnosis, engineering evaluation, professional opinion, certification, or determination that a structure or condition is safe or unsafe.
5. Emergencies and Potentially Dangerous Conditions
DO NOT RELY ON THE SERVICE TO DETERMINE WHETHER A BUILDING, STRUCTURE, OR CONDITION IS SAFE TO OCCUPY OR WHETHER AN EMERGENCY EXISTS.
The Service is not an emergency service and is not designed to identify, evaluate, or respond to imminent hazards.
If you observe or suspect conditions presenting an immediate threat to life, health, or property, including possible structural collapse, fire, gas leakage, electrical hazards, flooding, or other dangerous conditions, you should leave or avoid the affected area when appropriate and contact emergency services, local authorities, utility providers, or an appropriately qualified professional as circumstances require.
Do not delay seeking emergency or professional assistance while waiting for information or a response from StructuralAid.
6. User Submissions
The Service may allow you to submit photographs, descriptions, measurements, questions, comments, documents, or other information (“User Submissions”).
You retain any ownership rights you have in your User Submissions. By submitting material through the Service, you grant StructuralAid, LLC a non-exclusive license to host, store, reproduce, process, transmit, and display that material as reasonably necessary to operate the Service, provide requested functionality, respond to your submission, and administer the Service.
You represent that you have the right to provide any User Submission you submit and that your submission does not violate applicable law or the rights of another person or entity.
You should not submit material that you are not authorized to disclose.
Submission of photographs, documents, descriptions, or other information does not create a professional relationship and does not constitute an engagement of StructuralAid, LLC or any other person to perform engineering, architectural, construction, inspection, or other professional services.
StructuralAid reserves the right, but assumes no obligation, to remove, reject, or restrict access to User Submissions that violate this User Agreement or applicable law.
7. Third-Party Websites and Resources
The Service may contain links to websites, services, products, publications, or other resources operated or provided by third parties.
StructuralAid, LLC does not control third-party resources and is not responsible for their content, availability, accuracy, security, products, services, statements, or practices. The inclusion of a link does not necessarily constitute an endorsement, recommendation, sponsorship, or affiliation.
Your access to and use of third-party websites and services are governed by the terms and policies of those third parties.
8. Privacy
Your use of the Service is also subject to any Privacy Policy posted on the Service, which describes how StructuralAid, LLC collects, uses, stores, and otherwise handles personal information.
To the extent that this User Agreement and the Privacy Policy address different subject matters, each will govern the matters it addresses. If a direct conflict exists regarding the handling of personal information, the Privacy Policy will control with respect to that information unless applicable law requires otherwise.
9. Availability and Changes to the Service
StructuralAid, LLC may modify, update, suspend, restrict, or discontinue any portion of the Service at any time.
We do not guarantee that any particular content, feature, article, tool, page, or other resource will remain available or unchanged.
StructuralAid may correct errors or update information on the Service at any time but assumes no obligation to update all previously published information.
10. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL INFORMATION, CONTENT, MATERIALS, TOOLS, AND FEATURES MADE AVAILABLE THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STRUCTURALAID, LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, AND NON-INFRINGEMENT.
StructuralAid, LLC does not warrant that information available through the Service is correct, complete, current, or applicable to a particular property or circumstance.
StructuralAid, LLC does not warrant that the Service will be uninterrupted, secure, error-free, or free from viruses, malware, or other harmful components.
No information obtained through the Service creates a warranty unless expressly stated in a written agreement signed by an authorized representative of StructuralAid, LLC.
This section does not exclude, restrict, or modify any warranty or right that cannot lawfully be excluded, restricted, or modified.
11. Limitation of Liability
Your access to and use of the Service and your reliance on information available through the Service are at your own risk.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STRUCTURALAID, LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, THIS USER AGREEMENT, INFORMATION AVAILABLE THROUGH THE SERVICE, OR ANY ACTION TAKEN OR NOT TAKEN IN RELIANCE ON THAT INFORMATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
To the fullest extent permitted by applicable law, StructuralAid, LLC shall not be liable for injury, property damage, repair costs, investigation costs, loss, or other damages resulting from your reliance on information provided through the Service or your decision to take or refrain from taking action based upon that information.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF STRUCTURALAID, LLC ARISING OUT OF OR RELATING TO THE SERVICE OR THIS USER AGREEMENT SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
The limitations in this section apply regardless of the form or theory of liability, whether based on contract, tort, negligence, strict liability, statute, or otherwise, to the extent permitted by law.
Nothing in this User Agreement excludes or limits liability for fraud, willful misconduct, gross negligence where liability cannot lawfully be limited, or any other liability that cannot legally be excluded or limited.
Some jurisdictions do not allow certain exclusions or limitations of liability. To the extent such laws apply, some portions of this section may not apply to you, and StructuralAid’s liability will be limited to the maximum extent permitted by applicable law.
12. Suspension and Termination of Access
StructuralAid, LLC may suspend, restrict, or terminate your access to all or part of the Service if you violate this User Agreement, interfere with the operation or security of the Service, violate applicable law, or use the Service in a manner that may harm StructuralAid, the Service, another user, or a third party.
Termination or restriction of access does not affect provisions of this User Agreement that by their nature should continue after termination, including provisions concerning intellectual property, disclaimers, limitations of liability, governing law, jurisdiction, and venue.
13. Governing Law, Jurisdiction, and Venue
This User Agreement and any dispute, claim, or controversy arising out of or relating to this User Agreement or the Service shall be governed by and construed and enforced in accordance with the laws of the State of Michigan, without regard to its conflict-of-laws principles.
Any legal action or proceeding arising out of or relating to this User Agreement or the Service shall be brought exclusively in the appropriate state court located in Delta County, Michigan or, where federal subject-matter jurisdiction exists, in the United States District Court for the Western District of Michigan, Northern Division.
Each party irrevocably submits to the personal jurisdiction of those courts and waives, to the fullest extent permitted by applicable law, any objection based on improper venue or inconvenient forum.
Nothing in this section is intended to deprive a consumer of any non-waivable right or protection provided by applicable law.
14. Severability
If any provision of this User Agreement is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or, where appropriate, modified to the minimum extent necessary to make it enforceable.
The remaining provisions of this User Agreement will remain in full force and effect.
15. No Waiver
A failure or delay by StructuralAid, LLC in exercising or enforcing any right or provision under this User Agreement does not constitute a waiver of that right or provision.
A waiver of any provision on one occasion does not constitute a waiver of that provision on any other occasion or of any other provision.
16. Assignment
You may not assign or transfer your rights or obligations under this User Agreement without the prior written consent of StructuralAid, LLC.
StructuralAid, LLC may assign or transfer this User Agreement in connection with a merger, acquisition, reorganization, sale of assets, transfer of the Service, or similar business transaction.
17. Entire Agreement
This User Agreement, together with the Privacy Policy and any other policies or supplemental terms expressly incorporated into this User Agreement or presented in connection with a particular portion of the Service, constitutes the entire agreement between you and StructuralAid, LLC concerning your use of the Service.
It supersedes all prior or contemporaneous communications, representations, or agreements concerning that subject matter, except for a separate written agreement expressly entered into between you and StructuralAid, LLC.
18. No Third-Party Beneficiaries
Except as expressly provided in this User Agreement, this User Agreement does not create rights enforceable by any person or entity that is not a party to it.
